Welcome to Audionotes.app ("Audionotes," "we," "us," or "our"), operated by 1811 Labs (Vatsal Sanghvi). These Terms and Conditions ("Terms") govern your access to and use of our applications available on iOS, Android, Web, and the Chrome Web Store (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Services.

1. Acceptance of Terms

By registering for, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

2. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date, and we will state a later effective date if one applies. Unless a later date is stated or applicable law requires otherwise, updated Terms take effect when posted. If an update materially reduces the benefits of a paid subscription or introduces a new material usage restriction, we will provide reasonable advance notice where practicable. We may make changes effective immediately when reasonably necessary to address security, fraud, abuse, legal compliance, or the availability or reliability of the Services. Continued use of the Services after the applicable effective date constitutes acceptance of the updated Terms. Nothing in this section limits rights available under applicable law.

3. Eligibility

By using the Services, you represent and warrant that:

  • You are at least 13 years of age (or the minimum age of digital consent in your jurisdiction).
  • You have the legal capacity to enter into a binding agreement.
  • You are not barred from using the Services under any applicable law.

4. User Accounts

4.1 Registration

To access certain features, you may be required to create an account. You agree to provide accurate and up-to-date information and to keep it current.

4.2 Account Security

You are responsible for safeguarding your account credentials and for all activity under your account. You must notify us immediately of unauthorized use or security breaches.

4.3 Individual Account Use

Unless a plan or written agreement expressly provides otherwise, each Audionotes account is licensed to and intended for use by one individual. You must not share credentials, pool access, permit another person to use the account, transfer access, or use multiple accounts to avoid plan restrictions or usage limits. You may use the same account through Audionotes-provided applications on multiple personal devices and through Approved Integrations or Authorized Automation as defined below.

Team and Enterprise accounts may be used only by their assigned users or seats and in accordance with the applicable order form or subscription terms.

5. Acceptable Use

5.1 General Rules

You must use the Services only for their intended purposes and in accordance with these Terms. You must not:

  • Interfere with, disrupt, overload, degrade, or place an unreasonable burden on the Services or their infrastructure.
  • Circumvent or attempt to circumvent usage, rate, concurrency, access, security, payment, or plan restrictions.
  • Share, pool, transfer, sell, rent, sublicense, or commercially redistribute access to an individual account.
  • Create, obtain, or coordinate multiple accounts to avoid restrictions or increase available processing capacity.
  • Resell Audionotes transcription or processing capacity or use Audionotes as the processing backend for another product or service without our prior written authorization.
  • Submit duplicated, manipulated, artificially extended, or otherwise abusive media to consume resources, test limits, or evade usage accounting.
  • Repeatedly start, cancel, retry, or duplicate processing requests to avoid usage accounting or consume excessive resources.
  • Introduce malware, viruses, or harmful code.
  • Probe, scan, reverse engineer, scrape, or attempt unauthorized access to the Services, other accounts, internal APIs, models, systems, or infrastructure.

5.2 Content Standards

You must not upload or share content that is:

  • Defamatory, obscene, harassing, hateful, or otherwise unlawful.
  • Promoting violence, discrimination, or sexually explicit material.
  • Infringing on intellectual property, trade secrets, or proprietary rights of others.

5.3 Automated and Agentic Access

An “Approved Integration” is functionality, an integration, or an API that Audionotes makes available for that use or authorizes in writing, used in accordance with its documentation and applicable limits. An “Authorized Automation” is automated access that Audionotes expressly permits in writing or in the documentation for the applicable feature, integration, or API.

All activity performed through an account, whether initiated directly by a user, through an Approved Integration, or by Authorized Automation, is attributed to that account and counts toward its applicable usage, rate, concurrency, and plan limits.

You must not use bots, scripts, macros, headless browsers, browser-control tools, robotic process automation, scrapers, artificial intelligence agents, autonomous agents, large language model-powered agents, computer-use agents, or similar systems to access or operate the Services except through an Approved Integration or Authorized Automation.

Except to the extent expressly permitted for an Approved Integration or Authorized Automation, you must not use automated or agentic systems to:

  • Circumvent usage, rate, concurrency, payment, security, or plan restrictions.
  • Operate consumer-facing interfaces at machine scale.
  • Share or pool processing capacity between multiple users.
  • Resell or provide Audionotes processing as part of another service.
  • Submit unattended bulk workloads.
  • Coordinate multiple accounts to increase available processing capacity.
  • Access undocumented endpoints or simulate human interaction to avoid technical controls.

Approved Integrations and Authorized Automation remain attributable to the originating account and count toward all applicable limits. Accessibility technologies used to assist a person in operating the Services are not prohibited. Any other automated, programmatic, bulk, or agentic access requires our prior written authorization and may be subject to separate commercial terms and technical limits.

6. Plans, Usage Limits, and Fair Usage

Certain plans may allow an unlimited number of notes, uploads, transcripts, summaries, or other items. “Unlimited” refers only to the number of eligible items that may be created. It does not mean unlimited media duration, computing resources, storage, throughput, simultaneous processing, or automated access.

Unless an applicable plan or written order form states a different allowance or metering unit, the following shared media transcription allowances apply per UTC calendar day:

  • Personal and Pro accounts may process up to 600 minutes of media transcription.
  • Ultra accounts may process up to 1,200 minutes of media transcription.

Free plans are subject to the limits displayed for those plans. Team, Enterprise, custom, legacy, and promotional plans are subject to the allowance and metering unit displayed for the plan or stated in the applicable order form. For any Team, Enterprise, custom, legacy, or promotional paid plan that does not state a different daily allowance or metering unit, the 600-minute daily allowance applies separately to each assigned individual user account or seat. Shared, service, or integration accounts do not create additional allowance; their usage counts against the user, seat, account, or workspace to which they are connected, as shown in the Services or applicable order form.

An “Accepted Request” occurs only after Audionotes has access to enough of the media to validate the request and successfully records a usage reservation. Merely starting an upload, sending a link, or placing a request in a client-side queue does not establish acceptance. The plan entitlement, metering unit, and UTC day applicable at that point are fixed for the request, and its usage remains assigned to that UTC day even if processing completes later. Usage already incurred during the same UTC day continues to count after a plan change.

The allowance is shared across all Audionotes applications, devices, Approved Integrations, Authorized Automation, and features associated with the account that transcribe time-based media. Where supported, this includes recordings, uploaded audio and video, YouTube videos and YouTube Shorts, supported social-video links, direct media links, and integrations that submit media for transcription. Text notes, images, ordinary web pages, and documents that do not require media transcription do not use this allowance.

Usage is measured using the duration of the source media submitted for transcription, including silence and other non-speech portions. If only part of the media is submitted or processed, only that part counts. Submitting the same media for a new transcription counts again. Creating additional notes, summaries, translations, or other outputs from an existing transcript does not count again unless the media is transcribed again.

Audionotes may initially reserve the detected or reasonably estimated media duration and may adjust a reservation upward or downward as the source duration or processed duration becomes known. A reservation becomes completed usage when transcribed text is made available to the account. It will be released after reconciliation if the request is cancelled or fails without producing transcribed text that is made available to the account. A partial transcript that is made available counts only for the corresponding processed duration, even if a later summarization, formatting, export, or delivery step fails.

Audionotes may block a new request before processing if its known, detected, or reasonably estimated duration would exceed the account’s completed usage and active reservations for the applicable day. If a newly detected or corrected duration would cause the limit to be exceeded, Audionotes may reject, pause, or limit processing to the remaining allowance. The allowance resets at 00:00 UTC. Unused daily allowance does not carry over, and deleting media, notes, transcripts, or other outputs does not restore the allowance used to create them.

A usage allowance does not guarantee immediate or simultaneous processing. Audionotes may apply reasonable queue, request-frequency, concurrency, file-size, duration, format, security, and technical restrictions to protect the security, availability, cost, and reliability of the Services. An allowance does not authorize automation, account sharing, resale, circumvention, or any other violation of these Terms.

7. Intellectual Property Rights

7.1 Ownership

All rights, title, and interest in the Services (including software, code, text, design, and AI models used to generate summaries) remain with Audionotes, 1811 Labs, and our licensors.

7.2 Trademarks

The Audionotes name, logo, and related marks are protected trademarks. Unauthorized use is strictly prohibited.

8. License Grant

Subject to these Terms and the applicable plan, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Services for your personal or internal business purposes.

This license does not permit you to resell the Services, provide access to third parties, operate Audionotes as a service bureau, or incorporate Audionotes processing into another product or service without our prior written authorization.

9. User Content

9.1 Responsibility

You are solely responsible for any audio recordings, notes, or content you submit through the Services ("User Content").

9.2 License to Audionotes

By uploading or submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display your User Content only as necessary to provide and improve the Services.

10. Prohibited Activities

You agree not to:

  • Reverse engineer or attempt to extract source code from the Services.
  • Use the Services for unlawful or harmful purposes.
  • Remove or obscure copyright or proprietary notices.
  • Harvest or misuse personal data of others.

11. Third-Party Services

The Services integrate with third-party providers, including but not limited to:

  • OpenAI (AI-based processing)
  • Deepgram (speech-to-text transcription)
  • Hosting, storage, and analytics providers

We are not responsible for third-party services, which are governed by their own terms and policies.

12. Disclaimers and Limitations

12.1 Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind. We disclaim all express or implied warranties, including merchantability, fitness for purpose, and non-infringement.

12.2 Limitation of Liability

To the maximum extent permitted by law, Audionotes, 1811 Labs, its founder, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data or profits, resulting from:

  • Use or inability to use the Services.
  • Third-party services or conduct.
  • Unauthorized access or use of your data.

13. Indemnification

You agree to indemnify and hold harmless Audionotes, 1811 Labs, its founder, employees, and affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your:

  • Use of the Services.
  • Violation of these Terms.
  • Infringement of third-party rights.

14. Termination

14.1 By You

You may stop using the Services at any time and request account deletion.

14.2 By Us

We may take enforcement measures that are reasonably proportionate to the nature, severity, duration, recurrence, intent, and actual or likely harm of the conduct. Where practicable, we will use the least restrictive effective measure. Available measures include rejecting or blocking individual requests, reducing request frequency, limiting concurrent processing, temporarily restricting features, suspending an account, or terminating access where we reasonably determine that an applicable limit has been exceeded; an account is being shared, automated, resold, or used through an unauthorized agent or system; multiple accounts are being coordinated to circumvent restrictions; prohibited, unauthorized, or circumventing conduct creates extraordinary resource consumption or threatens the security, availability, integrity, or reliability of the Services; these Terms have been materially or repeatedly violated; or action is required by law or reasonably necessary to prevent fraud, harm, or unauthorized access. Use within a published allowance is not, by itself, abuse, but remains subject to the queue, concurrency, security, and technical restrictions described in these Terms.

We may act without prior notice when immediate action is reasonably necessary to address a security, fraud, availability, integrity, circumvention, legal, or similar material risk to the Services, other users, or third parties. In other cases, where practicable, we will provide notice and a reasonable opportunity to stop or correct the prohibited activity. Enforcement may apply to related accounts where we reasonably determine that they are under common ownership or control and are being used together to circumvent these Terms.

You may contact us to request review of a restriction or suspected usage-accounting error. Suspension or termination for a material violation does not entitle you to a refund except where required by applicable law or the applicable payment platform’s rules.

14.3 Survival

Upon termination, your right to use the Services ceases, but sections relating to ownership, disclaimers, indemnity, and limitations of liability survive.

15. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of India.

Jurisdiction: Any disputes shall fall under the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

16. Severability

If any provision of these Terms is found invalid, the remaining provisions will remain enforceable.

17. No Waiver

Failure to enforce any right under these Terms will not constitute a waiver of that right.

18. Entire Agreement

These Terms, along with our Privacy Policy, constitute the complete agreement between you and Audionotes.

19. Service Availability

We may modify, suspend, or discontinue any part of the Services at any time without liability.

20. Electronic Communications

By using the Services, you consent to receive communications electronically. Such communications satisfy any legal requirement for written communication.

21. Feedback

If you provide suggestions or feedback, you grant us the right to use them without restriction or obligation.
